By entering the contest, Entrant grants uShip, its licensees and assignees, a fully-paid and royalty-free, worldwide, perpetual, non-exclusive license to display, distribute, reproduce and create derivative works of the Entry, in whole or in part, in any media or form now existing or subsequently developed, for any and all purposes including, but not limited to, promotional, marketing, trade or any non-commercial or commercial purposes. uShip will not be required to pay any additional consideration or seek any additional approval in connection with such uses.
By submitting an Entry hereunder Entrant represents and warrants that: (i) you have read and accepted the Contest Rules; (ii) you own the story, photo(s), and/or video(s) submitted by you and have the right to grant the license set forth above; and (iii) the submission of the story, photo(s), and/or video(s) does not violate the privacy rights, publicity rights, copyrights, contract rights or any other legal rights of a third party.
The Contest Rules require that you obtain consent from anyone whose image and likeness is identifiable in the story, photo(s), and/or video(s) submitted. An Image Release Waiver form is provided. You must either use that form or an equivalent release form to obtain the signature of each identifiable person in your Entry. Upon request, Entrant must make the form(s) available to uShip. uShip reserves the right, at its sole discretion, to disqualify any finalist or winner from the Contest for failure to comply with the Contest Rules and select an alternate winner or finalist.
LIMITATION OF LIABILITY
By entering this Contest, each Entrant agree to release, discharge, and hold harmless uShip and its partners, affiliates, subsidiaries, advertising agencies, agents and their employees, officers, directors, and representatives from any claims, losses, and damages arising out of or relating to, Entrant’s participation in this Contest and related activities and Entrant’s acceptance, use, misuse, or possession of any prize awarded hereunder.
Each Entrant hereby agrees to indemnify and hold uShip harmless from and against any and all third party claims, actions, proceedings, suits, damages, liabilities, fees, costs and expenses relating to or arising out of, any breach or alleged breach of any of warranties, representations, or agreements made by Entrant to a third party in connection with Entrant’s participation in the Contest hereunder.
